TheICircle — Effective Date: 1 May 2026

These Terms of Service (“Terms”) govern your access to and use of the TheICircle website, platform, and related services (collectively, the “Platform”), operated by TheICircle International Ltd and, for users located in the European Union, by NEWW S.r.l. as EU service provider (“we”, “us”, “our”). By accessing the Platform, you agree to these Terms.

These Terms apply to all visitors and registered users. Hosts and Students are additionally subject to their respective agreements referenced in Section 4.

1. Website & Platform Use

You may use the Platform solely for lawful purposes and in accordance with these Terms. You agree not to:

  • use the Platform for any fraudulent, deceptive, or unauthorised purpose;

  • attempt to gain unauthorised access to any part of the Platform or its underlying systems;

  • scrape, harvest, or systematically extract data from the Platform without our prior written consent;

  • transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable;

  • impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate access to the Platform at any time, with or without notice, where we reasonably believe these Terms have been breached.

2. No Guarantee of Matching

Submission of an application — whether as a Host or as a Student — does not constitute or guarantee any form of matching, placement, booking, or accommodation offer.

TheICircle operates a curated service that involves an internal review and selection process. We reserve the right to accept or decline any application at our sole discretion, without being required to provide reasons. Completion of the application process, payment of any registration or membership fee, or any communication with our team shall not be construed as a commitment to provide accommodation or to match a Student with a Host.

3. TheICircle's Role

3.1 What TheICircle is

TheICircle operates as a curated accommodation-matching and support platform. We facilitate introductions between Hosts and Students and provide ongoing support throughout the hosting experience. In this capacity, we act as:

  • a curated accommodation service provider;

  • a matching and support platform.

3.2 What TheICircle is not

TheICircle is not, and shall not be construed as:

  • the owner or lessor of any property listed on or through the Platform;

  • a real estate agency or property management company;

  • a landlord, sub-landlord, or party to any tenancy or licence agreement between a Host and a Student;

  • an employer of Hosts or Students.

TheICircle does not hold, manage, or guarantee any accommodation. The relationship between a Host and a Student is governed exclusively by the Host Agreement and the Student/Member Agreement, and TheICircle is not a party to that relationship.

4. Host & Student Separate Agreements

All matters relating to the hosting arrangement — including stays, booking, hosting obligations, payment obligations, cancellation, house rules, rights, and responsibilities — are governed exclusively by the following documents:

  • the Host Agreement, applicable to all registered Hosts;

  • the Student/Member Agreement, applicable to all registered Students;

  • the Booking Terms, incorporated by reference into both agreements.

By registering as a Host or Student, you acknowledge that you have read, understood, and agreed to the applicable agreement. In the event of any conflict between these Terms of Service and the Host Agreement or Student/Member Agreement, the specific agreement shall prevail in relation to the matter it governs.

5. Payments

TheICircle may charge fees in connection with the use of the Platform, which may include registration fees, membership fees, placement fees, or booking-related charges. The following general principles apply:

  • a non-refundable booking or placement fee may be charged upon confirmation of a match or booking, as specified in the applicable agreement;

  • recurring payments, where applicable, are governed by the payment schedule set out in the Host Agreement or Student/Member Agreement;

  • our Refund & Cancellation Policy sets out the conditions under which refunds may or may not be available.

Full details of payment obligations and conditions are set out in the Host Agreement and Student/Member Agreement. Please review those documents carefully before registering.

6. Limitation of Liability

To the fullest extent permitted by applicable law, TheICircle and its officers, directors, employees, agents, and affiliates shall not be liable for:

  • any act, omission, conduct, or behaviour of a Host or Student, including but not limited to property damage, personal injury, theft, harassment, or any dispute arising between a Host and a Student;

  • the condition, suitability, safety, or legality of any accommodation made available through the Platform;

  • any loss, damage, or injury sustained during or in connection with a stay arranged through the Platform;

  • indirect, incidental, consequential, or punitive damages arising from use of the Platform.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

Where EU consumer protection law applies mandatorily to a user, nothing in these Terms shall operate to deprive that user of rights they are entitled to exercise under applicable EU law.

7. Intellectual Property

All content on the Platform, including but not limited to text, images, graphics, logos, trademarks, and software, is the property of TheICircle International Ltd or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Platform without our prior written consent. The TheICircle name and logo may not be used in any manner that implies endorsement, affiliation, or sponsorship without our express written authorisation.

8. Privacy & Cookies

Your use of the Platform is subject to our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. Please review those documents to understand how we collect, use, and protect your personal data.

9. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Notwithstanding the foregoing, users who are consumers habitually resident in a Member State of the European Union retain the benefit of any mandatory provisions of the law of their country of habitual residence that cannot be excluded by contract. Nothing in these Terms shall operate to deprive an EU consumer of such mandatory protections.

EU consumers may also refer disputes to the European Commission's Online Dispute Resolution platform, available at ec.europa.eu/consumers/odr.

10. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Where changes are material, we will provide reasonable notice, which may include posting an updated version on the Platform with a revised effective date. Your continued use of the Platform following any such changes constitutes acceptance of the updated Terms.
